What is Biodiversity Solutions International?

Biodiversity Solutions International (BSI) is the SaaS brand of Endangered Wildlife OÜ (registry code 14676379, address Kadaka tee 5-312, 10621 Tallinn, Estonia). Endangered Wildlife OÜ (EW) is a Tech4Good SaaS company.

What is biodiversity value?

The biodiversity value is an independent statistical valuation of either an individual species or an ecosystem based on an umbrella species. The valuation consists of a combination of environmental and economic factors that cumulatively generate a total value for the species. It is a real but intangible market value created by the species or ecosystem.

What is the biodiversity impact value?

The biodiversity impact value is the change in biodiversity value of a species or ecosystem as a result of active environmental management. The impact value published on the BSI website is the value that we calculate the project creates through its activities.

What is the disclaimer on the biodiversity valuator and reports?

The copyright in the reports belongs to Endangered Wildlife OÜ (hereinafter ‘EW’). All reports are produced by EW’s valuation department. The reports are based upon information available to the general public. The information contained within has been compiled from sources deemed to be suitably reliable. However, no guarantee to that effect is given and henceforth neither the accuracy, completeness, nor the timeliness of this information should be relied upon. Any opinions expressed herein reflect a professional judgment of environmental and market conditions as at the date of publication of this document and are therefore subject to change without prior notice.

The reports are not intended for public distribution and may not be reproduced, redistributed or published in any form whatsoever (in whole or in part) without prior written permission of EW. The user shall be liable for any non-authorised reproduction or use of the reports, whether in whole or in part, and such reproduction may lead to legal proceedings. The valuations have been derived from a combination of environmental and economic calculations. What biodiversity projects do we list on our platform?

EW’s objective for species of conservation concern is to assist in the prevention of extinction due to anthropogenic causes of any of the species on the IUCN’s Red List. Before listing a project on our platform, a vetting process that includes both environmental and governance due diligence is carried out.

EW endeavours to establish conservation efforts of other threatened species or lower taxonomic divisions, including considering recommendations of experts of invertebrate taxa for which no formal red listing has been done, according to a realistic framework. Except in crucial instances for the survival of globally critically endangered species, management for system integrity and biodiversity must take precedence over species management. Projects will be evaluated on criteria that will include, but are not exclusive to:

  • Species rarity and/or population vulnerability, according to red listing;
  • Species role in ecosystem – is it a keystone species;
  • The broader regional biodiversity goals and conservation needs – extent of occurrence;
  • Project contribution to natural functioning and long-term persistence of ecosystems – relative endemicity;
  • Project contribution to the representativeness of biodiversity that promotes resilience and ecosystem integrity;
  • Project intervention in ecosystems responsibly and sustainably by complementing natural processes with a minimum interference approach or philosophy;
  • Species’ taxonomic distinctiveness;
  • Genetic threats to species – inbreeding and/or hybridisation;
  • Species’ susceptibility to illegal harvesting;
  • Project contribution to meta-population management of species of conservation concern;
  • Nature of threat and chance of success (reversibility) of the project;
  • Success of project’s historical conservation efforts potentially having a negative effect on other species or biodiversity elements;
  • Project management plan;
  • Project adherence to National and International applicable legislation of the country/countries the project operates in.
What is a professional investor?

As per the laws of the Republic of Estonia, an experienced or “qualified” investor is defined as:

1) a credit institution, investment firm, management company, investment fund, insurance undertaking and another financial institution subject to financial supervision;
2) the Republic of Estonia, a foreign state, a regional government or the central bank of Estonia or a foreign state;
3) an international institution or organisation;
4) a financial institution engaged solely in securities investment or trading in commodities and commodity derivatives;
5) a large enterprise, which meets two of the following criteria:
5.1) the total balance sheet value exceeds EUR 20 million;
5.2) the net turnover exceeds EUR 40 million;
5.3) the equity value exceeds EUR 2 million
6) other professional clients not specified above or a person who is considered a professional client or an eligible counterparty pursuant to the current legislation of another country.

Endangered Wildlife Terms and Conditions

Endangeredwild.life and biodiversity.solutions websites (“Website”), including its subpages and its related services are run by Endangered Wildlife OÜ, a limited liability company registered in the Republic of Estonia (hereafter referred to as “Endangered Wildlife”, “us”, “we”), registration number 14676379, address Kadaka tee 5-312, 10621, Tallinn, Estonia.

Endangered Wildlife provides services and products related to conservation financing and biodiversity valuation (Endangered Wildlife services referred to as “Services”).

By using any part of the Services or registering an account on the Website you acknowledge that you have read, understood, and agree to be bound by these terms (“Terms”).

Prices, overview of supported conservation projects or the specific species and other relevant information is provided on the Website beside the products.

Everything displayed on the website and the products are protected under copyright and are the sole property of Endangered Wildlife OÜ. If you wish to use any copyrighted works, please contact us and note that you will be subject to fees. In case of unauthorized use, we are willing to take legal action and you will be liable for the fees, damages and legal fees incurred due to your unauthorized use.

Registering the User Account

Access to certain Services may require you to register an account by following the registration process as described on the Website.

By registering an account on the Website, you agree:
1. to provide and keep the information about you and/or your organization as requested by Endangered Wildlife accurate, current and complete;
2. to maintain the confidentiality of your password and other information related to the security of your account;
3. to be fully responsible for all use of your account and for any actions that take place through your account, including responsibility for compliance with all laws and regulations that are applicable to you or the content you use or create in connection with the Services.

By agreeing to these Terms, you represent that you are legally permitted to use the Services and are at least age of majority in your state or province of residence; or are at least 16 years of age and have been given consent to use the Services by your parent or guardian.

Purchasing the Products Offered on the Website

There are various products provided on the Endangered Wildlife Website. The majority of profits from all products sold on the Website will be used for supporting various conservation projects.

To place an order for purchasing an item from the Endangered Wildlife web store you must click “Purchase” upon finding the desired product on the Website and follow the instructions thereafter. After submitting the purchasing and virtual delivery information as requested you will be directed to the payment centre. The payment will be processed by a third party payment system (for more information about the payment processor, please see our Privacy Policy).

Prices, overview of supported conservation projects or the specific species and other relevant information is provided on the Website beside the products.

The order has been placed once you have entered the required information and paid the requested fee in full. We will confirm the order by sending the electronic receipt to the e-mail address you have provided.

The Software Solutions

Endangered Wildlife may provide automated tools or services for evaluating the biodiversity, sustainability, financial and/or other impact emerging from a potential funding. Any such assessment is merely an estimation and Endangered Wildlife does not provide any representations in terms of its accuracy.

Endangered Wildlife does not provide any financial advice. You hereby acknowledge to be solely responsible for any financing decision you make based on the impact valuation tools or services provided on the Website.

Investment into Conservation Projects

The Website may list various third-party conservation projects that are available for investment to qualified investors as per § 6 section 2 of the Estonian Securities Market Act. Any such investment shall be made based on a separate legal instrument agreed between the qualified investor and the legal entity providing the investment opportunity. The use of investment proceeds, rights of the investors and other conditions of the investment shall be determined in the separate agreement between the investor and the third-party entity raising the funds.

While Endangered Wildlife pre-vets any conservation project listed on its Website to ensure the high quality of the projects listed, we are not liable for nor endorse any conservation project on our Website nor grant any warranties or representations with regard to financials or reliability.

Endangered Wildlife does not provide any services regarding emitting, offering or trading of any securities or other financial instruments for the general public.

Your Restrictions and Obligations

When using the Website and/or the Services, you must not do any of the following:

1. carry out any activities in course of using the Services that is illegal, libelous, defamatory, abusive, threatening, harassing, hateful, offensive, causes damage to Endangered Wildlife or any third party or otherwise violates any law or infringes upon the right of any third party;
2. decompile, reverse engineer, or otherwise attempt to obtain the source code of the Services, the Website and/or any software tools provided via the Website;
3. modify the software underlying the Website in any manner or form or to use modified versions of such software, including (without limitation) for the purpose of obtaining unauthorized access to the Website;
4. publish, post, upload, e-mail, distribute, or disseminate any inappropriate, profane, defamatory, misleading, infringing, obscene, indecent, or unlawful content;
5. transmit files that contain viruses, corrupted files, or any other similar software or programs that may damage or adversely affect the operation of another person’s computer, Services, Website, any software or hardware, or telecommunications equipment;
6. probe, scan or test the vulnerability of the Website or circumvent any security mechanism used by the Website;
7. share your account or account information with any other individual. Use of an account by more than one individual is strictly prohibited;
8. take any action that imposes an unreasonably or disproportionately large load on the infrastructure of the Website and/or Services.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Services, use of the Services, or access to the Services or any contact on the Website, without express written permission by us.

You warrant that you own or have sufficient legal right to the intellectual property rights in any content you upload to the Website and using such content does not violate applicable law or the rights of any third party. You hereby grant Endangered Wildlife and its affiliates a lifetime, worldwide, irrevocable, royalty-free, non exclusive, sublicensable right to use, reproduce, distribute, transfer and publish the content you post on the Website for the purposes of storing and processing the content in connection with providing the Services. Using the Services and providing any content will not deem you to be a maker of any database provided on the Website in the meaning of EU Database Directive 96/9/EC.

Endangered Wildlife reserves the right to suspend or terminate access to its Services immediately to any user, whose activity is disrupting, causing harm to the Services infrastructure or third parties, or otherwise violates the Terms. You agree to reimburse Endangered Wildlife for any expenses or costs, including consequential damages, we or anyone else may incur as a result of a breach of the foregoing representations and obligations.

Intellectual Property of Endangered Wildlife

All copyrights and any other intellectual property rights in relation to Website and/or Services shall remain the sole and exclusive property of Endangered Wildlife and you shall have no claim to it in so far as not stated differently herein.

Endangered Wildlife grants you personal, non-exclusive, time limited, non-transferable, non-licensable and revocable license to use the Website and our Services, for so long as you comply with the Terms. All rights not expressly granted in the Terms are reserved. You may use the content on the Website and the Services only for your personal use in connection with the Services. You may not modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works of, distribute, publicly perform, reverse engineer, publicly display, or in any way exploit any of the software, materials or content of the Services or the Website in whole or in part, unless as prescribed otherwise in these terms or on the Website.

Materials submitted for competitions become the property of Endangered Wildlife, and may be retained for exhibition, publication and promotion purposes. Endangered Wildlife reserves the right in its retention of ownership of all competition materials to utilise submissions in any exhibition, publication or promotional endeavour and without compensation to the entrants. Each competitor will retain full copyright of all materials submitted unless otherwise stated.

Endangered Wildlife may at all times and without prior notice, make functional, procedural or technical changes or improvements to the Website or the Services. Endangered Wildlife is under no circumstances obliged to adjust or add any specific functionality to the Website or Services.

Your Privacy and Collection of Data

Endangered Wildlife acts in accordance with all applicable data protection regulations and will do its best to keep safe any information you have provided. Our policies regarding the collection, use and disclosure of personal information in course of the Services can be accessed in our Privacy Policy.

Technical and Customer Support

On the Website you may find contact information for the purpose of providing you with technical and customer support. We do not guarantee any level of support for issues not within our direct control or expertise. We also do not guarantee that the technical and/or customer support will be available at all times.

Deleting your User Account

You may delete your account on the Website at any time by following the instructions in your profile menu on the Website or contacting us at [email protected].

Limitation of Liability

Our Services, Website, software tools and information are provided on an “as is” basis and, other than expressly set out in the Terms, without warranties of any kind. Although we are striving to provide you as quality Services as possible, we do not warrant that our Website or Services will be error-free or uninterrupted. Among else, we do not:

1. assume any liability for the non-performance or improper performance of any agreement between you and a third-party entity whose conservation project has been listed on the Website;
2. assume any liability for the (in)completeness of information, lawfulness, safety or quality of any conservation project listed on the Website.

In the course of providing our impact valuation software or related Services, Endangered Wildlife may provide certain estimations about ecological or economic development of a particular conservation project. While we strive to assist you as much as possible, such advice is for informational purposes only and we do not guarantee the accuracy and make no warranties about the quality of such advice. You accept all risks regarding the inaccuracy or incompleteness of our advice or suggestions.

Unless explicitly stated otherwise, to the maximum extent permitted by applicable law, Endangered Wildlife or its directors, employees, partners and agents, are not liable for any indirect, incidental, special, exemplary, punitive or consequential damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses arising out of or in connection with your use of Website, our software tools and/or Services. In any case, the liability of Endangered Wildlife and our directors, employees, affiliates and partners is capped at 500 Euros.

We assume no liability for non-operability or impaired accessibility to Website or Services due to, but without limitation to, technical difficulties or dependence on the services of the third parties.

You are solely responsible for creating backup copies of any of your content that you submit to Endangered Wildlife.

Some states/jurisdictions do not allow exclusion of implied warranties or limitation of liability for incidental or consequential damages, so in such jurisdictions the above limitations or exclusions may not apply. In such case, our liability and that of its affiliates, suppliers and partners will be limited to the greatest extent permitted by law.

Indemnification

You agree to defend, indemnify and hold harmless Endangered Wildlife and our employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of your use and access of the Website and/or the Services.

Severability

If any of the provisions of the Terms proves to be void or voidable, or is or becomes invalid in full or in part for any other reason, the remaining provisions of the Terms will continue to apply in full. We will replace the invalid stipulation by a stipulation that is valid and whose legal consequences, in view of the substance and purpose of the Terms, correspond as much as possible to those of the invalid stipulation.

No Waiver

Our failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

Changes

We reserve the right, at our sole discretion, to make changes to the Terms at any time. We will provide at least 14 days’ notice on the Website prior to any new terms taking effect. By using our Services after those revisions become effective, you agree to be bound by the revised Terms.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Republic of Estonia, without regard to any choice of laws or conflicts of law provisions. You agree that any lawsuit arising from or related to Services shall be brought exclusively to courts located in Tallinn, Estonia and you consent to the exclusive jurisdiction of such courts.

Official Language

The English version of the Website is the original version. All other translations are for information purposes only. In case of a discrepancy, the English original will prevail.

Privacy Policy of Endangered Wildlife OÜ

This privacy policy informs you of Endangered Wildlife policies regarding the collection, use and disclosure of personal data when you use our conservation financing and biodiversity valuation services as provided via the endangeredwild.life and biodiversity.solutions websites. The policy also explains Endangered Wildlife’s practices in using cookies for storing information on others’ devices and retrieving information from such devices.

When we refer to “Endangered Wildlife” or use the word “we”, “our” or “us”, we mean Endangered Wildlife OÜ, a limited liability company registered in the Republic of Estonia, registration number 14676379, address Kadaka tee 5-312, 10621, Tallinn, Estonia.

Endangered Wildlife OÜ acts as the controller of the information we hold about you. The contact details of Endangered Wildlife OÜ are set out at the end of this document. By “you” we mean the individual reading this text, i.e., you as a natural person (and not any company or other organisation that you may be associated with).

Information Collection and Use

Information you provide us
When registering a user account and using our services we may ask you to provide certain personal data for the purposes of managing your user account and providing our services. This information may include:
Contact details, such as name, email address or phone number;
Billing information, including credit card and payment information;
Information you provide to us to receive technical assistance or during customer service interactions.

Information we collect automatically
When you use our services, we automatically collect the following information:
Information about the computer or mobile device you use to access the services, including device identifiers, type of operating system, and the type of browser used;
Log information about your use of the services, including access times, pages viewed, IP address.

How we use your personal data and our legal basis for data processing
Personal data is collected and processed on the basis of fulfilling the service contract between you and Endangered Wildlife. We use your personal data for providing services, including creating and managing your user account, processing you purchases, providing you with technical and customer support. Device and log information is used to measure and improve the services. We may use your name and e-mail to send you updates and important information regarding provision of the services (you may opt out of such e-mails, by clicking the unsubscribe button which can be found at the end of such e-mails).

We use Strip, Inc. or Paypal Holdings, Inc. to process your payments. Endangered Wildlife does not store and is not be able to access your bank account or credit card details at any time.

Should you so indicate separately, we will use your name and e-mail address to deliver you marketing and promotional offers on behalf of Endangered Wildlife.

We may also use the information about you for other purpose for which the information was collected, provided that such purpose was disclosed to you at the time of collection or you provided a separate consent for processing your data for such purpose.

Data Retention

We will retain your personal data until the closure of your user account. This period may be extended further, but it will be only for so long as it is reasonably necessary for us to have sufficient information to respond to any issues that may arise after the end of your relationship with us. When your personal data is no longer required, we will destroy, delete or convert it into an anonymous form.

Your Rights

You may at any time request to see, update or remove the personal data collected from our systems. You may also object the processing of your personal data. However, please note that certain services cannot be provided after you prohibit processing or request deletion of your personal data. If we are processing your personal data based on your consent, you may withdraw that consent at any time by deleting your user account by sending a pertinent request to [email protected].

You may, at any time, request to receive the personal data you have provided to us in course of using the services in a structured, commonly used and machine-readable format and have the right to transmit the data to another service provider.

Third Party Disclosure and Data Transfer

We do not sell, trade, or otherwise transfer to outside parties your personally identifiable information unless it is necessary for providing the services or required by law.

We may use third party authorized processors to process your data, for example store your data in servers hosted by third party cloud service providers such as Google, Amazon, Microsoft Azure, etc. The data stored by such data processors is encrypted, secured and cannot be accessed by any third parties. Any such authorized processor shall be obliged to adhere to the terms set forth in this document.

If you are from the European Economic Area (EEA), we shall not transfer your personal data to third countries, unless the recipient country or the particular person or entity receiving the data ensures an adequate level of protection for the data received, or applies safeguards as legally required for these kinds of transfers.

Data Security

We shall maintain adequate technical and organisational measures to ensure such level of security in our processing of personal data as appropriate in the given circumstances. The measures particularly address the following:
(a) the protection of personal data against unauthorized or unlawful processing and against accidental loss, alteration or destruction;
(b) the integrity and confidentiality of personal data;
(c) the availability and resilience of the service features pertinent to the processing of personal data; and
(d) our ability to restore the availability and access to personal data in a timely manner after a service failure.

However, please be aware that no security measure is perfect. Our efforts notwithstanding, we cannot guarantee that your personal data, during transmission over the internet or while stored in our systems or those of our service providers or while otherwise in our care, will be absolutely safe from unauthorised or unlawful processing or accidental loss, alteration or destruction, or that they will indeed be intact and confidential at all times or shortly available after any service incident. Note also that we cannot control, and are not responsible for, the actions of other parties with whom you share (or instruct us to share) your personal data.
